The dinnieGroup hereby agrees to provide Web Hosting and related services to the client and guarantees 100% uptime of all services.

 

1. Acceptance

By accepting this Agreement and using The dinnieGroup’s Website Hosting Services, the client agrees to be bound by all the terms and conditions of this Agreement.

 

2. Provision of Services

The dinnieGroup agrees to provide the client with website hosting services, consisting of website server space, e-mail capability and such additional services as may be provided by The dinnieGroup periodically. The dinnieGroup reserves the right to change or modify the features of the client’s service plan without prior notice to the client in terms of upgrading one or more services, but will provide 30 days e-mailed notice in the event of a downgrade in features or services in a client’s plan. Client’s continued use of The dinnieGroup’s services after receipt of such a notice of modification shall constitute client’s acceptance and agreement to be bound by The dinnieGroup’s modification of the terms and conditions of this Agreement.

 

3. Uptime

The dinnieGroup agrees to ensure website and email services do not experience any downtime during the entire duration of our agreement with the client. In the unlikely event the client experiences downtime on any of our web hosting services, client agrees to notify The dinnieGroup immediately. Should it be found that services were in fact unavailable for any period of time, client will be issued a full explanation as to the cause of the disruption. Client has the option of continuing with the Agreement or demanding a refund for the remainder of their current period of service, after which our Agreement will be terminated.

 

4. Security

The dinnieGroup assures the client of the security of their website against hacks of all sorts. Data stored on the client’s web hosting space will not be compromised and will not be shared with or exposed to any 3rd party without the express written permission of the client. The dinnieGroup agrees to be bound by confidentiality and will not make any attempt to modify or reset authentication details to any of the client’s email accounts, unless requested to do so by the client.

 

5. 3rd Party Access

Clients on the Standard web hosting package are placed on a shared server, which functions in every way as the Professional package with the following limitations:

 

Client is not provided with a dedicated cPanel login.

 

Client will supply a list of email accounts to be created to The dinnieGroup, which will in turn be created and client given the facility to change default passwords to more secure ones. The dinnieGroup does not have the ability to view any passwords or log into any email accounts created. In the event a client loses the password of an account, The dinnieGroup will, upon request from the client, reset the password and provide the client with a new default password. The dinnieGroup does not have the ability to retrieve an existing password.

 

Client will not be provided FTP access to the webspace where website is located, unless an agreement contrary to this had been reached prior to the start of development.

 

Clients that require web hosting services without the above limitations are advised to sign up to the Professional web hosting package.

 

6. Agreement Term

The initial term of this Agreement shall commence on the date of execution of this Agreement and shall continue through  twelve (12) months. After the initial term, this Agreement shall be automatically renewed for successive years until terminated by one of the parties as provided in this Agreement.

 

7. Payments

Client agrees to make timely payments for renewal of services as and when invoices to this effect are issued. The dinnieGroup reserves the right to make unavailable any or all web hosting services should payment fail to be made by the required date. In the event an account remains unpaid for a period of 14 days after a payment deadline, The dinnieGroup reserves the right to terminate this Agreement without notice to the client. Any services required after this will constitute a new Agreement. Upon termination due to non-payment, The dinnieGroup will not be held responsible for website files and/or email accounts that may be lost.

 

8. Termination without Cause

Client may terminate this Agreement at any time, for any reason, by contacting The dinnieGroup, by email, and requesting that client’s account be canceled. In the event of a cancellation, The dinnieGroup will not refund amounts already billed for the current annual service period during which the client terminates the Agreement.

 

The dinnieGroup may terminate this Agreement at any time, for any or all of the following reasons:

(i) Client makes use of web hosting space for purposes other than or not relating to the website The dinnieGroup was contracted to develop.

(ii) Client introduces malware into the web hosting space.

(iii)  Client does not meet a deadline for a renewal invoice for web hosting services.

(iv)  Client uses email or any other services for purposes that compromise or slow down network speed and affect   efficiency.
